These terms establish a clear, fair partnership between MCA Digital Co. and our clients, protecting both parties while ensuring successful project delivery.
Welcome to MCA Digital Co.. These Terms of Service ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.
Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, please do not use our services.
Definitions: • "Co.," "we," "us," or "our" refers to MCA Digital Co. • "Client," "you," or "your" refers to the individual or entity using our services • "Services" refers to all digital services provided by MCA Digital Co. • "Agreement" refers to these Terms and any project-specific contracts
Our Services Include:
Web Design & Development: • Website design and development • Responsive and mobile-first solutions • E-commerce platform development • Custom web applications
Digital Marketing: • Search Engine Optimization (SEO) • Social media marketing • Content marketing strategy • Brand development
Maintenance & Support: • Website maintenance and updates • Technical support • Performance optimization • Security updates
Project Deliverables: Each project will have specific deliverables outlined in a separate project proposal or contract. The scope, timeline, and deliverables will be clearly defined before work begins.
Service Limitations: Services not explicitly mentioned in the project agreement are not included. Additional requests may be subject to extra charges and timeline adjustments.
To ensure successful project delivery, clients are responsible for:
Content & Materials: • Providing all required content, images, and materials in a timely manner • Ensuring all provided content is accurate and properly licensed • Obtaining necessary permissions for copyrighted materials • Reviewing and approving deliverables within agreed timelines
Communication & Feedback: • Maintaining clear and timely communication • Providing constructive feedback within reasonable timeframes • Designating a primary point of contact for the project • Responding to requests for information promptly
Technical Requirements: • Providing necessary access to hosting, domains, and third-party services • Ensuring compatibility with your existing systems • Maintaining secure login credentials
Delays: Failure to fulfill these responsibilities may result in project delays. Timeline extensions due to client delays may incur additional charges.
Project Pricing: All prices are quoted in Bangladesh Taka (BDT) or US Dollars (USD) and are valid for 30 days from the quote date.
Payment Structure:
For Standard Projects: • 50% upfront payment before project commencement • 50% upon project completion and before final delivery
For Large Projects: • Payment may be divided into milestones as outlined in the project agreement • Each milestone payment must be received before proceeding to the next phase
Payment Methods: • Bank transfer • Mobile banking (bKash, Nagad, Rocket) • International payment gateways (for international clients) • Other methods as agreed upon
Late Payments: • Invoices are due within 7 days of issuance • Late payments may incur a 5% monthly fee • Work may be suspended for overdue payments exceeding 14 days
Refund Policy: • Upfront payments are non-refundable once work has commenced • Refunds for incomplete work will be assessed on a case-by-case basis • Refunds do not include time already invested in the project
Timeline Estimates: All project timelines are estimates based on the agreed scope and client cooperation. Timelines will be specified in the project proposal.
Timeline Factors: Project timelines depend on: • Project complexity and scope • Timely client feedback and approvals • Availability of content and materials • Third-party service dependencies
Timeline Extensions: Timelines may be extended due to: • Client delays in providing feedback or materials • Scope changes or additional feature requests • Technical issues beyond our control • Force majeure events
Delivery: • Final deliverables will be provided upon receipt of final payment • Source files and access credentials will be transferred upon project completion • Training and documentation will be provided as specified in the agreement
Ownership Upon Payment: Upon receipt of full payment, you will own the final deliverables created specifically for your project, including: • Website design and code • Graphics and visual elements created for your project • Custom content written for your project
Co. Rights: We retain the right to: • Use the project in our portfolio and marketing materials • Showcase the project as a case study • Reference you as a client (unless confidentiality is agreed upon)
Third-Party Components: Certain components may be licensed rather than owned: • Stock photos and images • Third-party plugins and frameworks • Licensed fonts and graphics • Open-source software
Pre-Existing Materials: • Materials provided by the client remain the client's property • We retain ownership of our pre-existing tools, frameworks, and methodologies • Any templates or reusable components remain our property
Prohibited Use: You may not resell, redistribute, or transfer the deliverables to third parties without written permission.
Included Revisions: Each project includes a specified number of revision rounds as outlined in the proposal, typically: • 2-3 rounds of revisions for design projects • 1-2 rounds for development projects • Specific revision limits will be stated in the project agreement
Revision Process: • Revisions must be requested within the review period • All revision requests should be consolidated and submitted together • Revisions should be within the original project scope
Additional Revisions: Revisions beyond the included rounds will be charged at our standard hourly rate.
Scope Changes: Requests that extend beyond the original scope are considered new work and will require: • A new quote and timeline • Additional payment • A revised project agreement
Our Warranties: We warrant that: • Services will be performed professionally and competently • Work will be original and not infringe on third-party rights • We have the right and authority to provide the services
Client Warranties: You warrant that: • You have the right to use all materials provided to us • Provided content does not infringe on third-party rights • Information provided is accurate and complete
Disclaimer: TO THE EXTENT PERMITTED BY LAW, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
We do not guarantee: • Specific search engine rankings • Specific conversion rates or sales results • Compatibility with all future technologies • Uninterrupted or error-free operation
Third-Party Services: We are not responsible for third-party services, plugins, or platforms used in your project.
Liability Cap: Our total liability for any claims related to our services shall not exceed the total amount paid by you for the specific project in question.
Excluded Damages: We shall not be liable for: • Indirect, incidental, or consequential damages • Lost profits or business opportunities • Data loss or corruption • Third-party claims • Events beyond our reasonable control
Exceptions: This limitation does not apply to: • Liability for death or personal injury • Fraud or fraudulent misrepresentation • Any liability that cannot be excluded by law
Client Responsibility: You are responsible for: • Maintaining backups of your data • Testing and reviewing deliverables before launch • Obtaining professional legal or financial advice • Compliance with applicable laws and regulations
Confidential Information: Both parties agree to keep confidential information private, including: • Business strategies and plans • Proprietary information • Client data and customer information • Login credentials and access details
Exceptions: Confidentiality does not apply to: • Information already public • Information independently developed • Information required to be disclosed by law • Information disclosed with written permission
Data Security: We implement reasonable security measures to protect confidential information but cannot guarantee absolute security.
Non-Disclosure: Upon request, we can sign a separate Non-Disclosure Agreement (NDA) for sensitive projects.
Termination by Client: You may terminate the agreement by providing 14 days written notice. In case of termination: • You will be charged for work completed up to the termination date • Partial deliverables will be provided based on payment received • No refund for work already completed
Termination by Co.: We may terminate the agreement if: • Payment is overdue by more than 30 days • You breach these Terms • You engage in abusive or unprofessional behavior • Continued work becomes impractical or impossible
Effect of Termination: Upon termination: • All outstanding invoices become immediately due • We will provide completed work proportional to payment received • Confidential information remains protected • Licenses to our pre-existing materials are revoked
Informal Resolution: In case of disputes, both parties agree to first attempt informal resolution through good-faith negotiation.
Mediation: If informal resolution fails, parties agree to attempt mediation before pursuing legal action.
Jurisdiction: These Terms are governed by the laws of Bangladesh. Any legal disputes will be resolved in the courts of 3321, MCA Chowdhury House, Bangladesh.
Language: The English version of these Terms shall prevail in case of any translation discrepancies.
Entire Agreement: These Terms, together with any project-specific agreements, constitute the entire agreement between parties.
Amendments: We reserve the right to update these Terms at any time. Significant changes will be communicated via email or website notice.
Severability: If any provision is found invalid, the remaining provisions shall remain in effect.
Waiver: Failure to enforce any provision does not waive our right to enforce it later.
Assignment: You may not transfer your rights or obligations without our written consent. We may assign our rights to affiliated entities.
Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, or government actions.
